This is a translation provided for convenience. In the event of any discrepancy, the Dutch version of this text prevails.
1. Scope
These general terms and conditions apply to all quotes, assignments and agreements concluded between ELintegration (which also trades as Robovloer) and the client, unless agreed otherwise in writing.
2. Quotes
Quotes are valid for 30 calendar days unless stated otherwise. An assignment comes into effect once the client accepts the quote in writing.
3. Execution
ELintegration undertakes to carry out assignments in accordance with the rules of good workmanship and the applicable standards (AREI/RGIE, EN standards). Stated lead times are indicative unless expressly agreed as binding.
4. Digitising existing documentation
When converting paper or scanned schematics into a digital format (PDF, ETAP or similar), ELintegration transfers what is legible on the original. Illegible, missing or contradictory data is reported to the client and is not filled in at our own discretion. The client remains responsible for the accuracy of the source material supplied and for validating the end result before it is used in an installation.
5. Price and payment
Invoices are payable within 14 calendar days of the invoice date unless stated otherwise. In the event of late payment, default interest of 8% per year is due by operation of law and without prior notice of default, as well as fixed compensation of 10% of the invoice amount (min. € 50).
6. Liability
ELintegration's liability is in all cases limited to the amount invoiced for the assignment concerned. ELintegration is not liable for indirect damage, consequential loss or loss of production.
7. Intellectual property
Schematics, designs and documentation delivered by ELintegration become the property of the client once the invoices have been paid in full. ELintegration retains the right to apply the methods and generic solutions used in other projects.
8. Governing law and disputes
Belgian law applies. Disputes are submitted exclusively to the competent courts of the judicial district of Ghent.
